what is a confirmation statement?

a confirmation statement is a requirement for every company (including dormant and non-trading companies). it confirms that all information required to be delivered by the company to the registrar in relation to the confirmation period has been delivered or is being delivered at the same time as the confirmation statement.

from 5 march 2024, each time a company files its a confirmation statement, it will also need to:

  • provide, update, or confirm a registered email address, and

  • make an annual statement that the company’s intended future activities will be lawful 

what form do i use?

to file your confirmation statement, you need the companies house confirmation statement form cs01.

how do i submit the form?

you can submit form cs01 online using the filing service on the companies house website or as a paper document that is filled in and sent to companies house. register here to file online.

when do i submit a confirmation statement?

you must submit your confirmation statement within 14 days after the end of each 12-month review period. your 12-month review period starts on either:

  • the date your company incorporated

  • the date you filed your last confirmation statement

therefore, a confirmation statement must be provided in every 12-month period. however, a company can choose to provide a confirmation statement at any point prior to this due date.

does it cost anything to file a confirmation statement?

companies house charges a processing fee of £62 for a paper return or £34 if completed online.

what if i need to make changes to my company’s information?

you can use parts 1 to 4 of form cs01 if you need to make any changes to your company information.

  • part 1 for changes to the principal business activities or standard industrial classification (sic)

  • part 2 for changes to the statement of capital

  • part 3 for changes to the trading status of shares and exemption from keeping a register of people with significant control (psc)

  • part 4 for changes to the shareholder information

you will also have to fill in these forms if this is the first time you are supplying this information.

if you need to make any changes to the registered office address, single alternative inspection address (sail) and company records, officer appointments and information about people with significant control, you must do this separately before or at the same time as the confirmation statement.

what happens if i don’t file a confirmation statement on time?

companies house will typically send a reminder to the company shortly before the filing deadline, which states the last date for filing and outlines the consequences of late delivery. it's important to note that whilst you can use accountants to assist you with any filing requirements, the companies act 2006 states that the ultimate responsibility for filings lies with the company officers (ie the directors). this means that the legal responsibility for accurate and timely filings of the company accounts lies with the company officers and cannot be passed to any third parties.
